Terms and Conditions (T&C)

Welcome to www.zimplynatural.com (hereinafter “Online Store”)!

Please read our General Terms and Conditions (GTC) carefully. We would like to note in advance that we update our GTC from time to time to reflect, for example, changes in the legal framework or an expanded product range. For this reason, we ask that you thoroughly review the GTC for each individual order so that you are aware of the GTC in effect at the time of your order. The Terms and Conditions in effect at the time of each individual order shall therefore apply.

1. Scope / Contracting Parties / Contract Language

1.1 These Terms and Conditions apply to all contracts concluded between you and us through our online store. “Us” refers to ZIMPLY NATURAL GmbH (hereinafter “ZNG”), with its registered office at Landwehrstr. 35, 80336 Munich (Munich Local Court, HRB 264827). ZNG is represented by its managing director, Dr. Markus Kick, who has sole power of representation. 1.2 If you order a custom-formulated medication through us, your contractual partner is one of the following pharmacies (“Partner Pharmacy”):

2. Minimum Age, Scope of Services, and Conclusion of Contract

2.1 The minimum age for placing an order with ZNG is 18 years.

2.2 ZNG does not itself provide any therapeutic or pharmaceutical services. Through the platform www.zimplynatural.com, ZNG enables you to create a personalized naturopathic formulation (“blending instructions”) using a “configurator.”

2.3 You can purchase the mixing instructions from ZNG. ZNG will then send you the mixing instructions as a PDF document via email. The mixing instructions specify the ingredients and their respective proportions. You can then have the compounded medication prepared at a pharmacy of your choice based on the purchased mixing instructions and purchase and pay for it directly at the pharmacy.

2.4 Alternatively, you can purchase the customized compounded medication through ZNG. In this case, ZNG facilitates and organizes the conclusion of the contract with the partner pharmacy (see above) and the contract processing (including payment processing). Regarding the conclusion of the contract with the pharmacy, ZNG transmits your offer—submitted through the order—to enter into a contract for the purchase and delivery of the compounded medication(s) to the partner pharmacy as a messenger. The partner pharmacy accepts the offer to enter into a contract by issuing an order confirmation, which ZNG sends to you on behalf of and as an agent for the partner pharmacy. The partner pharmacy prepares the compounded medication in accordance with the provisions of the Pharmacy Operating Regulations; therefore, the preparation must be alcohol-based. Depending on the mixture, all compounded medications contain between 22% and 30% alcohol by volume. The pharmacy holds a shipping permit in accordance with Section 11a of the Pharmacy Act and hands over the prepared medication to a shipping service provider. The handover to the shipping service provider typically takes place within two business days. During the ordering process and afterward, you can direct questions about your compounded medication to our partner pharmacy at any time and receive free consultation (see above for contact information). A prerequisite for the delivery of the medication is that you provide a phone number when placing your order so that the pharmacy’s pharmaceutical staff can reach you to provide advice if necessary (at no additional cost to you). Consultation hours are as follows: Monday through Friday (business days) from 8:00 a.m. to 6:00 p.m. and on Saturdays that are business days, from 8:00 a.m. to 12:30 p.m.

2.5 ZNG’s configurator guides you to the recommended mixing instructions based on a series of questions. The configurator includes various questions about symptoms, pre-existing conditions, and/or any allergies, as well as—if applicable—any medications you are taking, your living circumstances, and other relevant information.

2.6 The configurator and its content are continuously monitored, evaluated, and further developed, both technically and in terms of subject matter. The configurator merely translates the therapeutic knowledge of our team of therapists into software. However, the configurator itself does not influence the composition of the recommended compounded medication, does not independently analyze your information, and does not use artificial intelligence or similar technologies. Accordingly, the configurator is not a medical device and, in particular, is not intended to be used for the detection, prevention, monitoring, treatment, or alleviation of diseases.

2.7 The naturopath Tobias Eisenkolb is professionally responsible for the therapeutic knowledge represented in the configurator. Tobias Eisenkolb is also responsible for quality control and the ongoing development of the configurator. For quality assurance purposes, our therapists periodically review, on a random basis, the mixing instructions generated by the configurator.

2.8 We would like to point out here that, by nature, there is no scientific evidence of efficacy (regarding both current symptoms and pre-existing conditions) for the mixing instructions or for any naturopathic herbal remedies you may order through ZNG. 3. No Medical Diagnosis or Advice; Customer’s Duty of Care

3.1 The ZNG configurator does not constitute a medical diagnosis or consultation and is not intended to replace one. Under no circumstances should you discontinue any medication prescribed or recommended by a doctor because you are taking the custom-formulated remedy ordered through ZNG. If in doubt, consult a doctor. This applies in particular if your symptoms worsen.

3.2 For your own safety, you are required to:

  • Check before taking the medication to ensure you have received the correct product (verify that there has been no delivery error)
  • Before taking the medication, check whether the outer packaging and any seal are intact and whether the package or spray bottle is damaged
  • Before taking the medication, check the expiration date printed on the package or spray bottle
  • Before taking the medication, carefully read and follow the dosage instructions and other information provided

4. Ordering Process, Delivery, and Prices

4.1 You can add your customized prescription medication or your individual compounding instructions to a virtual shopping cart by clicking the “Buy Now” button. After entering your shipping and billing addresses and providing various consents (e.g., regarding the acceptance of these Terms and Conditions and data processing) by actively checking the “checkboxes,” you can complete the ordering process by clicking the “Place Order” button. By doing so, you are submitting an offer to purchase the compounding instructions from us or to purchase the compounded medication from the partner pharmacy. Before submitting an order, you have the opportunity at any time to review and correct the information you have entered in the order form.

4.2 When you order a compounding instruction, ZNG will send you an order confirmation. This marks the conclusion of the contract with ZNG. The order confirmation summarizes your order once again. ZNG will then send you the compounding instruction as a PDF document in a separate email.

4.3 If you purchase the compounded medication through ZNG from our partner pharmacy, the process is as follows:

  1. You purchase a digital voucher from ZNG for a custom-compounded medication, which is accepted by our partner pharmacy to pay for the medication prepared by the pharmacy and shipped to you.
  2. ZNG will redeem the voucher for you at the partner pharmacy. If, after purchasing the voucher, it is not redeemed at the partner pharmacy (see below), you can cancel the voucher at any time by sending us a written notice. If you do not cancel the voucher, it remains redeemable until the end of the third year following purchase. The voucher may not be resold.
  3. The purchase agreement for the compounded medication with the partner pharmacy is not concluded until you receive confirmation that the compounded medication has been shipped. The automatic order confirmation from ZNG via email does not constitute acceptance of the offer. The reason for this is that the partner pharmacy has certain verification obligations under pharmacy law and therefore reserves the right—if, based on its own assessment, there are professional objections to the preparation or administration of the medication—to consult with you or to refuse to prepare the compounded medication. In this case, the partner pharmacy will not accept your offer to enter into a sales contract. If this occurs, ZNG will notify you and, upon request, assist you as much as possible in finding a solution. Alternatively, you can cancel the voucher and receive a refund.

4.4 Specified delivery times are contingent upon payment of the purchase price. Unless a different delivery time is specified for the respective product in our online store or in a confirmation, the delivery time is up to 7 days.

4.5 ZNG currently delivers only to addresses within the EU. The partner pharmacy also delivers within the EU. If you would like a delivery to another country, please contact us so that we can review your request on a case-by-case basis.

4.6 The prices listed in the online store at the time of ordering apply. The price is also displayed in the order form before you submit your order. All prices include the applicable statutory sales tax.

4.7 All orders within Germany are shipped free of charge via ZNG. A shipping fee of €4.95 applies for shipments to EU countries; shipping is free for orders with a shopping cart total of €49 or more.

4.8 Promoted free additional services, such as the free consultation with a naturopath, may be claimed by each customer only once at no charge. ZNG reserves the right to refuse the free additional service in individual cases. There is no legal entitlement to the additional service provided.

5. Retention of Title

Until full payment has been made, the delivered goods remain the property of ZNG or the partner pharmacy.

6. Payment Terms

Payment of the purchase price is due immediately upon conclusion of the contract. You can make payment via SEPA direct debit or credit card (via the payment provider Stripe), Klarna invoice or installment plan (via the payment provider Klarna), Apple Pay, Google Pay, or PayPal. The terms and conditions of the respective payment provider you select also apply. If you reverse a successful payment made via direct debit or another payment method, or if the payment is subsequently rejected due to insufficient funds, the costs incurred directly by us as a result will be passed on to you and billed.

7. Warranty for Defects, Guarantee

7.1 ZNG or the partner pharmacy is liable for defects in accordance with the applicable statutory provisions.

7.2 A representation or additional warranty exists only if it was expressly stated in the order confirmation for the respective item or otherwise provided in explicit form. Product descriptions and similar statements in the online store do not constitute a representation or warranty.

8. Liability

8.1 We or the partner pharmacy are liable to you in all cases of contractual and non-contractual liability for willful misconduct and gross negligence in accordance with statutory provisions.

8.2 In all other cases—unless otherwise provided in paragraph 3—we or the partner pharmacy are liable only for a breach of a contractual obligation whose fulfillment is essential for the proper performance of the contract and on whose compliance you, as a customer, may reasonably rely (a so-called cardinal obligation), and such liability is limited to compensation for foreseeable and typical damages. In all other cases, our liability and the liability of the partner pharmacy are excluded, subject to the provision in paragraph 3.

8.3 Our liability and the liability of the partner pharmacy for damages resulting from injury to life, limb, or health, in cases of fraudulently concealed defects, and under the Product Liability Act remain unaffected by the foregoing limitations and exclusions of liability.

10. Data Protection

Protecting the data you provide to ZNG is ZNG’s top priority. ZNG guarantees the confidential handling of your personal data in accordance with the relevant statutory provisions on data protection as well as the data protection regulations set forth in our Privacy Policy.

11. Copyrights

Use of images, videos, texts, logos, and similar content published in the online store is not permitted without our express consent.

12. Dispute Resolution / Consumer Arbitration Board

The European Commission has created an online platform for the resolution of disputes. The platform serves as a point of contact for the out-of-court resolution of disputes concerning contractual obligations arising from online sales contracts. We are neither willing nor obligated to participate in dispute resolution proceedings before a consumer arbitration board. The same applies to our partner pharmacy.

13. Final Provisions

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. If a delivery is made to a country other than Germany, any statutory provisions restricting the choice of law and governing the applicability of mandatory provisions of the country in which you, as a consumer, have your habitual residence remain unaffected.
